End-User License Agreement (EULA)

1. License Grant

Polymorph SIA grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on one (1) macOS device under your control, subject to the terms of this EULA and your selected license type.

• One-Time License: Permits perpetual use of the Software on a single macOS device. Includes one year of software updates from the date of purchase. After the update period ends, you may continue using the last version indefinitely or purchase an optional update extension.

• Subscription License: Permits use of the Software on one macOS device for the duration of an active subscription. Includes ongoing access to updates and features, subject to the Fair Use Policy.

If you wish to transfer your license to a different device, you must deactivate the license of the original machine before reactivation.

2. Restrictions

You may not:

• Modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software;

• Reproduce, distribute, rent, lease, sell, sublicense, or commercially exploit the Software;

• Use the Software in violation of any applicable laws or regulations;

• Use the Software to build a competing product or service;

• Share your license key or subscription credentials with others;

• Install or use the Software on more than one macOS device at a time under the same license, unless explicitly permitted.

3. Ownership

All intellectual property rights in the Software (including all source code, features, graphics, and documentation) remain the sole property of Polymorph SIA. Your rights to use the Software are licensed, not sold.

This EULA does not grant you any ownership rights in the Software. All rights not expressly granted herein are reserved by Polymorph SIA.

4. Updates and Support

• One-Time License users are entitled to one year of updates from the date of purchase. After that period, continued use of the last available version is permitted indefinitely.

• Subscription License users receive updates and support for as long as their subscription remains active.

• We may improve, modify, or remove features at our discretion.

5. Termination

This agreement is effective until terminated. It will terminate immediately without notice if you breach any term of this EULA.

Upon termination:

• All license rights granted under this EULA will immediately cease.

• You must uninstall and delete all copies of the Software from your device(s).

You may also terminate this agreement at any time by uninstalling and ceasing to use the Software.

6. Warranty Disclaimer

The Software is provided “as is”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Polymorph SIA does not warrant that the Software will meet your requirements, operate without interruption, or be free of defects or errors.

7. Limitation of Liability

To the fullest extent allowed by law, Polymorph SIA shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, profits, or business interruption, arising from the use or inability to use the Software.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Latvia.

9. Miscellaneous

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Any waiver or modification of this agreement must be in writing and signed by both parties. No failure or delay by Polymorph SIA in exercising any right will operate as a waiver of such right.

10. Changes to This EULA

Polymorph SIA reserves the right to update or modify this EULA at any time. Changes become effective upon publication on https://textwisely.ai. You are responsible for reviewing the latest version. Continued use of the Software after changes are posted constitutes acceptance of the revised terms.
